Parties to a contract are bound by a duty to apply the penalties stipulated therein in good faith. Penalties imposed illegitimately should not be recognised.

On 21 October 2010, the Player and the Club entered into an employment contract with a term beginning on 1 January 2011 and ending on 31 December 2015 (the Contract, including two annexes).
